THE JOB:
Reporting to the Managing director in Luxembourg and also to the company’s CEO with a functional reporting line to the London-based Head of Legal. We are looking for a very strong leader, a expert in the legal domain. This person will be key in driving this dynamic team and he /she will be specifically responsible to:
• Supply the entity with legal advice with a view to limiting, controlling and managing the company’s legal risks when servicing investment schemes.
• Provide legal advice in connection with the on-boarding and daily administration of any type of domiciled Luxembourg investment schemes as well as alternative off-shore vehicles (eg hedge funds, funds of funds) for which the company is appointed as service provider.
• Provide commercial legal advice to all departments of the Company.
• Review and comment on prospectuses and draft any type of legal documentation including agreements (with or without the use of the company’s templates).
• Ensure that the company and its legal department are informed on a timely basis of changes to law, regulation and the Group legal policies which are relevant to the business commercially.
• Liaise with clients and external counsel in order to ensure a smooth on-boarding of new clients and respond to operational questions that can arise in the administration of any investment vehicles.
• Liaise with clients and colleagues, as necessary, on global transactions and projects which involve the company commercially.
The key activities and responsibilities for the role include:
• Assist in drafting and revising prospectuses, resolutions and agreements in order to meet client requirements in the context of the legal and regulatory environment and the Company’s policies.
• Participate in and assist with the introduction and on-boarding of new business by preparing, drafting and/or reviewing contractual and general documentation relating to Luxembourg or foreign vehicles. Manage the relationship with the company’s business department(s) for the daily administration and legal questions that arise during the relationship with a client (e.g. duties, AML, cut-off, and suspension of NAV etc).
• Assist in revising and drafting any type of legal documentation with any third parties or service provider to the company, whether part of the Group or not.
• Assist in providing ad hoc legal advice and guidance to the company staff at all levels including commercial and operational queries.
• To facilitate service delivery by the company‘s staff and to ensure that legal risk is suitably addressed, assist with the preparation and review of the company’s policies and procedures in the commercial law sphere.
• Perform research of statutes, regulations, cases and texts with respect to specific situations, and inform concerned parties of relevant developments.
• With a view to addressing and managing the company’s legal risks, ensure that the company‘s commercial legal library and administrative legal work are kept up-to-date.
• Participate in the company’s Global Legal Practice Group.
THE CANDIDATE PROFILE:
The successful candidate’s profile:
• Law degree (post-qualification would be an advantage);
• The qualification as avocat à la Cour in Luxembourg would be an advantage;
• Experience in a law firm is required. (An exceptional candidate with slightly less than 7 years of relevant experience would be considered.) ;
• At least 7 years of professional experience in the Luxembourg funds services industry with a good knowledge of the duties and responsibilities of a depositary bank and administrator of any Luxembourg investment vehicle (UCITS, UCIs, SIFs, SICARs) and off-shores vehicle is required;
• Sound knowledge in financial law, banking law and general corporate law;
• Rigorous in legal drafting;
• Open-minded and business oriented; proactive and dynamic
• Strong communication and written skills: being fluent in English, any other language would be an asset
• Highly organised; excellent following procedures, meeting challenging deadlines and working under pressure
• Good relationship building skills; good interacting with all staff in the Bank, clients and other professional contacts.
